1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tech Bato Pvt. Ltd. (Registration No. 370390), a company incorporated under the laws of Nepal with its principal office in Sindhuli, Nepal ("Company," "we," "our," or "us").

By accessing our website, downloading or using any of our mobile applications, or participating in any of our programs, you confirm that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, please discontinue use of our services immediately.

2. Our Services

Tech Bato Pvt. Ltd. operates a technology group delivering enterprise software, AI-powered products, and educational platforms. Our current portfolio of services includes:

• Corporate website and enterprise inquiry platform at techbato.com.np
• Mobile applications published on Google Play and the Apple App Store
• Internship programs, learning tracks, and venture-building initiatives
• AI tools and developer services operated under Tech Bato Labs

3. Mobile Applications

The following mobile applications are developed, published, and maintained by Tech Bato Pvt. Ltd. Use of each application is subject to these Terms in addition to the respective app store's terms of service.

Advertising: All applications may display advertisements served by Google AdMob and Google Ads. Ad content is provided by Google and subject to Google's advertising policies. We do not control individual ad content delivered by these networks.

In-App Purchases: Where applicable, in-app purchases are processed by Google Play or the Apple App Store. All purchase disputes are subject to the respective platform's refund and billing policies.

Analytics & Performance: Our apps use Firebase Analytics, Firebase Crashlytics, and Microsoft Clarity to monitor performance, diagnose crashes, and understand user behavior. See our Privacy Policy for details.

4. User Obligations

By using our services, you agree to:

• Comply with all applicable local and international laws, including the laws of Nepal.
• Not use our services for any unlawful, harmful, fraudulent, or abusive purpose.
• Not attempt to reverse-engineer, decompile, or extract source code from any of our applications.
• Not scrape, harvest, or otherwise collect data from our platforms in an automated manner without written authorization.
• Not upload or transmit any content that is defamatory, obscene, infringing, or otherwise objectionable.
• Maintain the confidentiality of any account credentials and notify us immediately of any unauthorized access.

5. Intellectual Property

All content, software, trademarks, logos, course materials, AI prompts, and other materials made available through our services are the exclusive intellectual property of Tech Bato Pvt. Ltd. or its licensors and are protected under applicable copyright and intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use our applications for personal, non-commercial purposes in accordance with these Terms. No other rights are granted. Any unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited.

6. Ecosystem Participation

Participation in the Tech Bato ecosystem — including learning tracks, internship placements, and venture-building programs — is governed by separate program agreements and is subject to performance standards, confidentiality obligations, and code-of-conduct requirements. We reserve the right to suspend or terminate participation for individuals or entities that fail to uphold our core values of Execution, Integrity, and Excellence.

7. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Tech Bato Pvt. Ltd., its directors, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or in connection with your use of or inability to use our services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to any of our services at any time, with or without notice, for conduct that we reasonably believe violates these Terms or is harmful to other users, third parties, or our business interests. Upon termination, your right to use our services ceases immediately.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms with a revised Effective Date. Your continued use of our services following any such changes constitutes your acceptance of the new Terms. We encourage you to review this page periodically.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any dispute, controversy, or claim arising out of or in connection with these Terms — including their breach, termination, or validity — shall be subject to the exclusive jurisdiction of the competent courts of Nepal, with venue in Sindhuli District.
